General terms and conditions
Industryhack Oy (“Industryhack” or “we”) is a service provider for innovation challenges (“Challenge”), which are hosted by organisations (“Host”). Anyone with legal capacity can apply for these Challenges as part of a team (“Team”).
You agree to be bound by these Terms and Conditions (“Terms” or “Agreement”) by applying to participate in a Challenge or by using services provided by Industryhack on the website www.industryhack.com or related sites, such as mobile application or third-party service components (all such sites and services are referred to as the “Platform”).
These terms constitute a binding legal agreement between you, i.e. the applicant or participant of a Challenge or a user of the Platform, and Industryhack Oy, a Finnish company (Business ID 2689566-6) with post address at Lapinlahdenkatu 16, 00180, Helsinki, Finland. These Terms may be modified by Industryhack from time to time, such modifications to be effective upon posting by Industryhack on the Platform. We will provide the registered users of the Platform with a notice via email of substantial changes to the Terms or changes that have an adverse effect on the rights of the users hereunder.
Please note that the Challenges published at Industryhack.com are organized by the Host of such Challenge, not by Industryhack. Industryhack acts as a facilitator and matchmaker between the Host organizing the Challenge and the participants of the Challenge.
Applying and participation
You may apply to a Challenge by creating an application on the Platform. When applying for participation in a Challenge, you shall provide accurate and complete registration and other information to Industryhack as requested by Industryhack. Application must be filled before the application deadline. Industryhack or Host are not obliged to accept late applications.
Industryhack or Host has the right at its sole discretion to determine the participants of each Challenge among the applicants. Such decision by Industryhack or Host is final and cannot be appealed. Industryhack or Host will inform all applicants if they have been selected or not, but does not provide justifications for the decisions to applicants.
Selected participants are asked to agree on Terms of Participation in order to participate for the Challenge. If you register or apply as a private person, you confirm that you are at least 18 years old and have the legal capacity to accept and be bound by these Terms. If you register or apply as an entity or on behalf of a team, you confirm that such entity and each person in the team accepts these Terms and you have the right to represent such entity and team for the purposes of these Terms.
User Content on the Platform
You are solely responsible for all the content that you upload to the Platform. Industryhack does not pre-screen or monitor any content uploaded by the users of the Platform.
Industryhack disclaims any responsibility for the backup and/or retention of any user content transmitted/uploaded to the Platform. The Platform shall not be used for the back-up of any information or content.
Intellectual Property Rights
Industryhack owns and retains all intellectual property rights of the Platform and its own services. The INDUSTRYHACK name and logo are owned by Industryhack Oy, and may not be copied, imitated or used without the permission of Industryhack. Nothing in this Agreement shall constitute a transfer of any intellectual property rights or other rights of Industryhack or the Host to you.
This Agreement will remain in full force and effect while you are a user of the Platform or apply to or participate in any Challenges. Provisions of this Agreement intended to survive the termination or expiry of this Agreement shall do so. Industryhack may modify and update the Platform and its services and may cease to provide the Platform and any services in whole or in part.
Warranties and Limitation of Liability
Industryhack makes no warranty, express or implied with respect to the Platform and its services and any materials relating thereto and expressly disclaims any warranty of fitness for a particular purpose, merchantability, availability, accuracy or non-infringement.
To the fullest extent permitted by applicable law, in no event will Industryhack or its representatives be liable to you or any third party for any damages, including, without limitation, direct, indirect, consequential or punitive damages, arising out of the use of the Platform or application to or participation in a Challenge or any Industryhack services.
The parties do not restrict their liability for any matter in respect of which, by mandatory law, it is not permitted to restrict its liability.
Governing law and disputes
This Agreement shall be governed by and construed in accordance with the laws of Finland. Possible disputes between parties are primarily settled by negotiation. If the matter cannot be resolved amicably it shall be finally settled by arbitration in accordance with the Arbitration Rules of the Finland Chamber of Commerce. The number of arbitrators shall be one. The seat of arbitration shall be Helsinki, Finland. The language of the arbitration shall be Finnish or English.
If any provision of this Agreement is held invalid, the remainder of this Agreement shall continue in full force and effect. No agency, partnership, or employment is created as a result of these Terms. You may not assign this Agreement to a third party. Industryhack has the right to assign this Agreement to its affiliates or successors as part of a restructuring, merger, acquisition, asset sale or other corporate reorganization. Industryhack’s failure to exercise or delay in exercising any right under these Terms shall not operate as a waiver. The section titles in these Terms are for convenience only and have no legal or contractual effect.
